TIMBERLAKE GETS SOCIAL:
No stranger to tearing up the dance floor, Justin Timberlake will take over the
runway on Oct. 17 when he will present the spring 2007 collection for his men's
and women's lifestyle label, William Rast, at the members-only restaurant Social
Hollywood on Sunset Boulevard. Due to be held during the middle of Los Angeles
Fashion Week, Timberlake's first fashion show will include a performance by him
and as-yet-undisclosed guest stars. Targeting buyers, celebrities and fashion
press, the party will be spread between the old Hollywood-meets-Danish modern
rooms in Social Hollywood and the adjacent nightclub Boulevard 3. It'll be a
busy fall for the multitasking pop star, who's also been dabbling in acting and
plans to release his sophomore solo album, "FutureSex/LoveSounds," on
Sept. 12. Due to Timberlake's packed schedule, a spokeswoman for People's
Liberation, the Los Angeles company that produces William Rast, said the opening
of the first William Rast-branded store in Tokyo will be postponed from
September to a later date yet to be determined. Separately, People's Liberation
said it welcomed a new president on July 20. Ted Houston, former chief operating
officer at premium denim label Rock & Republic, took over duties from Danny
Guez, who remains chief executive officer.
Making The Brand: Timberlake's Clothing Line In Sync With Success

Justin Timberlake and his friends/business partners Trace Ayala and Danny
Guez last month introduced their fashion line, William Rast Clothing. Focusing
on men's and women's vintage T-shirts, polos, jeans and hats, William Rast
prides itself on being a little bit country, a little bit rock'n'roll—Timberlake
does hail from Tennessee, after all.
Though the brand is in its infancy, fashion insiders are optimistic about its
future.
"As long as the clothes look good and are trend-right and with the right
retailers, they'll sell," says Tim Bess, a fashion/retail consultant for
the Doneger Group, a company that forecasts fashion trends for the retail
market. "Right now, it's all about the item and not so much about the
[celebrity] name."
The initial collection, which emphasizes denim and corduroy, is available at
Bloomingdale's and lifestyle boutiques like Kitson in Beverly Hills, Calif., and
Solis in San Francisco. Prices range from $23 to $225. William Rast is
distributed by Paul Guez's Blue Concepts denim empire. (Yes, he is Danny's
father.)
Solis founder Steve Haas says early sales are healthy. "People are
impressed with this very credible line," he adds. "We're already
asking for more product."
For a trend-oriented and upscale collection like William Rast, it is important
to be embraced by such fashion-forward retailers, Bess says. "That's the
first step for Justin in becoming a successful clothing maven."
Proper marketing is also crucial. An approach that relies less on the fact that
this is "Timberlake's line" will resonate more with consumers, Bess
believes. The customer buying premium fashions like William Rast is interested
in a great-looking line and great fabric. Price is a non-issue.
Compared with other celebrity fashion brands, William Rast is being viewed as a
credible fashion line. Haas attributes this to Timberlake's "silent
partner" approach. "People like to know he's involved, but they don't
want to be hit over the head with it," Haas says.
Even if Timberlake's name was not attached to the line, Haas says Solis would
still carry the brand. "Justin's association is icing on the cake."
In fact, the biggest setback would be if Timberlake "jumps into all the
advertising and promotion," Bess says.
We tend to think Timberlake is too business-savvy to make such a clichéd move.
As for the William Rast name, it is a combination of Timberlake's and Ayala's
grandfathers' first and last names, respectively.

With so many celebrities preserving their roles as purveyors of style, it’s
only natural that many would take their iconic fashion status to another level.
Some collections are pure imitations of the celebrity’s respected style, while
others are haute couture visions from the superstar’s artistic mind. With
Justin Timberlake’s new fashion line called William Rast, he takes these two
concepts to create an uncanny premiere collection that contains his personal
flair and his artistic inspiration. The clothing line has come upon its official
November launch in stores like Fred Segal and Bloomingdale’s, but more
notably, Solis on Market has become the first specialty store to carry the
collection.
Alongside his best friend, Trace Ayala, Timberlake launched this brand new
clothing line that fuses the urban glamour of Hollywood with nuances from his
southern country upbringing. His Tennessee roots may be uniquely stitched in the
clothing, but the name of his label touches on a deeper meaning that transcends
the concept of style.
Timberlake’s new line was certainly the hot topic at this year’s “sin
city” fashion event, Project Las Vegas. Amidst the boatloads of designers,
retailers and fashion mavens, Solis owners, Steve Haas and Jose Cabaltera were
also on hand to scope out the latest in urban hipster couture. While on their
modish pilgrimage, the stylish duo had the exclusive opportunity to sit down and
talk with the pop star turned fashion denizen. Gleaming with his undeniable
southern charm and usual impeccable style, Timberlake was more than happy to
discuss his fashion investment and his genuine gratitude towards Solis.

With that said, his fresh collection makes it easy to believe in. Stocked with
rich, autumn-friendly earth tones and subtle urban panache, the collection
strays away from all the overzealous embellishments of modern street wear. The
exterior look of the debut 60-piece collection is chic, but for Timberlake the
label name holds all the heart. The attractive moniker of William Rast stems
from a collaborative effort of Timberlake and Ayala. The 24-year-old pop icon
reveals that the name is a creative fusion of their grandfather’s names,
“William” being Justin’s and the last name, “Rast” belonging to Trace.
Both have had a significant impact on their lives.
With such honorable names pinned to his new business venture, it has a certain
reputation to uphold – and it delivers. The name William Rast is a way for
Timberlake to share a little piece of himself with everyone.
“It represents my roots back to Tennessee. This clothing is representative of
where we come from – it’s sort of country, but it’s also got a little edge
and a little chic to it,” he says with candid confidence. “I just want it to
be authentic and something I feel good about.”
Although top designer, Juan Cervantes, held the reigns in devising the
collection, Timberlake didn’t take a back seat when it came to providing his
own creativity. With his favorite designers like Marc Jacobs, Alexander McQueen
and Tom Ford instilled in his fashion mindset, Timberlake dove in head first
with his ideas. From his role as the fit model for the clothes to his design
input, he made sure that he was heavily involved in the process.
Available for both men and women, the clothing unquestionably lives up to his
expectations of urban country goodness – and Solis is definitely enthused to
feature the pieces in the store. Attractively wearable and stylish with
cleanliness, the line includes some top quality denim. Its bold variety of
washes, fits and soon-to-be famous W-stamped back pockets are obviously going to
be a staple in closets of urban hipsters everywhere. For “above the waist”
garb, corduroy blazers, polo shirts and cashmere sweaters are in abundance and
give the collection street-friendly sophistication. In the realm of casual
simplicity, flattering t-shirts marked with the logo are also available in a
wide array of colors. All of the looks are equally appealing, but when it comes
to Timberlake’s favorite, he takes pride in the outerwear.
“I love the jackets,” says Timberlake with a debonair smile. “I’ll be
rocking it.”
Based on the success of his initial collection, he plans to open more stores
across the country including his home state of Tennessee. With the bold
simplicity of the debut collection serving as solid launch pad, William Rast has
set it sites on providing even more apparel variety with headwear, intimate
apparel and men’s suits.
“Once we get the basics down solid, we are really going to start rocking the
line,” says Timberlake with a boyish wink.
The debut collection of warm colors of easy to wear apparel has already garnered
a considerable ovation. From this, he will be able to build “up and out”
from a strong foundation. With that said, Timberlake plans to put his energy
into supporting the initial launch, especially with Solis.
“We are going to be in San Francisco on tour in the future,” says
Timberlake. “I want to stop by and visit you guys to support the line your
store. It’s the first specialty store to carry the line – that’s
special.”
Long gone are his *Nsync days of curly, boyish locks and southern-fried
teenybopper wholesomeness. Providing his unique metropolitan-meets-country look
will definitely serve as a wise, yet unassuming, re-invention for Timberlake and
a distinctive opportunity for Solis. Amidst his acting and singing career,
William Rast aims to leave his personal imprint as a sex symbol, celebrity

Gwen Stefani and Jennifer Lopez, move over. There's a new pop star turned designer in town. Justin Timberlake recently celebrated the launch of his new clothing line, William Rast, at Beverly Hills boutique Kitson. And he's serious about being a designing man. "I didn't want to come out with anything trendy," the stylish singer – who sported a green hat, hunter-style jacket and jeans at the event – told us about the "lifestyle brand" of chic T-shirts and jeans he created with best friend Trace Ayala (and named after their grandfathers). "We started it this way so we could go somewhere, so we could expand."
The guys are thinking big: Plans are under way for William Rast underwear, cologne and Italian suits. "But that's something that comes with time," says Ayala. "We're focused on the next step." Adds Timberlake: "I wanted to have a basic collection that we could always fall back on."
In the meantime, Timberlake, who showed up at the party solo (girlfriend Cameron Diaz was in London promoting In Her Shoes), is busy with a couple of other little things: recording his sophomore solo album (the follow-up to 2002's multiplatinum-selling Justified) and voicing his role as a young prince alongside Diaz in Shrek 3 (just one of several movies he's juggling). Rose, LLC and Versatile Entertainment, Inc., and Closing of $7,800,000 Capital
Raise; Provides Guidance for Fiscal Years 2005 and 2006

LOS ANGELES--(BUSINESS WIRE)--Nov. 25, 2005--Century Pacific Financial
Corporation (OTCBB:CYPC) ("Century") today announced it has completed
its exchange transaction with Bella Rose, LLC ("Bella Rose") and
Versatile Entertainment, Inc. ("Versatile"). Bella Rose was formed in
May of 2005, to design, develop, market, distribute and sell high-end fashion
jeans, casual wear, and other apparel under the brand name "William Rast."
The William Rast clothing line is a joint venture between Bella Rose and a
company controlled by Justin Timberlake. Versatile was formed in April 2001, to
design, develop, market, distribute and sell high-end fashion jeans, knits,
apparel and accessories and began selling apparel under the brand name
"People's Liberation" in July 2004. Effective as of the closing of the
exchange transaction, Bella Rose and Versatile became wholly owned subsidiaries
of Century. As a result of the closing, the historical business operations of
Bella Rose and Versatile will comprise Century's principal business operations
going forward.
At the closing, pursuant to the terms of an Exchange Agreement dated October 28,
2005, by and among Century, Bella Rose, Bella Rose's members, Versatile, the
shareholders of Versatile, and Keating Reverse Merger Fund, LLC ("KRM
Fund"), Century acquired all of the outstanding membership interests of
Bella Rose (the "Interests") from Bella Rose's members, and Bella
Rose's members contributed all of their Interests to Century. In exchange,
Century issued to Bella Rose's members 492,021.29 shares of Series A Convertible
Preferred Stock, par value $0.001 per share, of Century, which will be
convertible into 49,202,129 shares of Century's common stock.
Also at the closing, pursuant to the terms of the Exchange Agreement, Century
acquired all of the outstanding shares of capital stock of Versatile
("Versatile Shares") from the shareholders, and the shareholders
contributed all of their Versatile Shares to Century. In exchange, Century
issued to the shareholders 1,968,085.05 shares of Series A Convertible Preferred
Stock, which will be convertible into 196,808,505 shares of Century's common
stock.
Immediately following the closing, Century received approximately $7.8 million
in a private placement transaction (the "Capital Raise") with
institutional investors and other high-net worth individuals
("Investors"). Sanders Morris Harris Inc. acted as placement agent for
this transaction. Pursuant to Subscription Agreements entered into with these
Investors, Century sold 578,125 shares of Series A Convertible Preferred Stock
at a price per share of $13.5135. After commissions and expenses, Century
received net proceeds of approximately $7.2 million in the Capital Raise.
After the closing of the Exchange Agreement, and after giving effect to the
Capital Raise, the members of Bella Rose, the Versatile stockholders, and the
Investors in the aggregate own 2,793,106.34 shares of our Series A Convertible
Preferred Stock, which represents in the aggregate 95.3% of our issued and
outstanding shares of common stock after giving effect to the conversion of the
Series A Convertible Preferred Stock into common stock. Further, the
stockholders of Century prior to the closing of the Exchange Agreement and the
Capital Raise own 4.7% of the outstanding common stock (or, 13,775,021 shares of
our common stock) immediately after completion of these transactions after
giving effect to the conversion of the Series A Convertible Preferred Stock into
common stock.
Bella Rose and Versatile market, distribute and sell "People's
Liberation" and "William Rast" brand products in the United
States, and internationally. They market and distribute their products by
participating in industry trade shows, as well as through their show rooms in
Los Angeles and New York. The products of Versatile and Bella Rose are sold in
the United States to department stores and boutiques such as Nordstrom,

voting together as a single class. The Actions will not become effective until

Revenue Guidance for Fiscal Years 2005 and 2006

NEW YORK — Justin Timberlake celebrated the launch of his new clothing line, William
Rast, at a little shindig Tuesday night at Bloomingdale's, where he'd already snagged one of the coveted window displays.
Recovering from "Black Snake Moan" (see "Christina Ricci Cured Of Nymphomania By Samuel L. Jackson In 'Black Snake Moan' "), which finished shooting just two days prior, the singer/actor expressed amazement that all his work with best friend and business partner Trace Ayala was finally seeing the light of day (see "Timberlake Wants To Rock Your Body With A New Clothing Line").
"This was our little baby," he said. "Can two men have a child in New York together? Is that legal? It's a terrible joke, I'm sorry!"
Along with Ayala, whom he credits as being better at style and design, Timberlake said he was involved with every step of the process, "from buttons to rivets to fit to design to actual washes of the denim," even serving as the men's jeans fit model. And now that he's gone through the whole process with this "little baby," from conception to birth, he likens it to recording an album.
"It's definitely similar," he explained. "You have your initial rough recording, you go back in and you may change some lyrics and melodies, you may record some more vocals, you leave it alone for a minute, come back to it and mix it, put some other sounds on. In that way it's very similar.
"Obviously, this is clothes," he continued, "so a lot of what we did, after designing it, was just wear it around town, asking ourselves, 'Does this work?' You figure out what's good, what's bad, you come back and just keep chipping away at it."
Timberlake says he halted production briefly to create a special Dixieland T-shirt to benefit victims of Hurricane Katrina; he's planning to sell them in stores as well as auction off signed copies. "So much is being done for the Katrina effort, and that's wonderful," he said, "but it's like, if you see a benefit on television, and then another one, and then another one, probably just that first one is going to have an impact on you. So we wanted to take that into consideration. I mean, I can do music, I can do telethons, but this is a cooler way to do
it..."

about their newest endeavor. The pair are teaming up to market a brand-new
clothing line, and we've got the goods on the exciting new enterprise!
"This clothing is representative of where we come from," Justin tells
Solis. "It's sort of country, but it's also got a little edge and a little
chic to it."
"It's definitely a contemporary feel," adds Trace. "It's not mass
marketed. We're very meticulous about the stores we're going to be in."
The clothing line, coming to Solis soon, is called WILLIAM RAST. William Rast?
Who's that?!
"We just kind of picked the two people who are most influential in our
lives, and that's our grandfathers," explains Justin. "William is my
grandfather's first name and Rast is [Trace's] grandfather's last name. Put the
two together..."
"My grandfather lived next door to me my entire life," says Trace.
"He's basically a father figure. And my grandfather and [Justin's]
grandfather knew each other growing up. They still live down the road from each
other."
"It'll be kind of interesting to see my grandfather in these clothes,"
says Justin with a smile.
The William Rast collection is Denim based, 50% men's and 50% women's. Tees

Why Justin Started his own Clothing

Justin Timberlake, whose sartorial resplendence
is often commended, is branching into the fashion world. He will partner with
his two business partners, Trace Ayala and Danny Guez, for the William Rast line
that will consist primarily of t-shirts, blazers, polos, and outerwear. The line
is named after Timberlake’s grandfather and Ayala’s grandfather.
The line will be available November 3 exclusively at IO Bloomingdales; Kitson in
Beverly Hills, California; Atrium in New York City; and Fred Segal in Santa
Monica, California.
Split 50-50 between men’s and women’s wear, the upscale, classic
Americana-inspired casual wear designed by Juan Gervants is expected to combine
influences from Timberlake and Ayala’s Tennessee roots with stylish, chic
touches like pink piping and yarn-embroidered logos. Timberlake describes the
line as Southern country-club rock, “a little bit of Tennessee with a little
bit of Hollywood.”
“We could take it to [$]25 million in the first year,” Guez said, “but we
really want to control the distribution and keep it very exclusive. Guez’
roots in the fashion industry are strong. His father is Los Angeles, California
denim heavyweight Paul Guez, and he is familiar with the intersection of fashion
and celebrity, having been involved with Eve’s Fetish and Lil Bow Wow’s
Shago lines, though neither line has performed up to expectations.
When asked why he was getting into the fashion business at this time, Timberlake
said, “somebody came to me and said, ‘Hey, there’s this guy that wants to
do a clothing line with you.’ I said, absolutely no way. I don’t want to do
that.” The singer became more interested after speaking with Ayala, his
assistant and longtime friend from Tennessee. “I started talking with Trace
and I knew he wanted to do something like this for a long time. He would take
jeans and redo them, put stitches in them for me for events. We started talking
about it and then went back to Danny. We said that if we could do it our way, in
a way that’s authentic and genuine to us, we’d do it.”
“Justin and Trace were involved from buttons to rivets to labels more than any
celebrity I’ve ever worked with,” Guez said. “It got to the point where it
was almost annoying.”
While the trio are proud of the exclusivity of the line, they have big plans for
the future. They hope to open “the flagship [William Rast] retail store in
Memphis [,Tennessee] in two or three years,” Timberlake said. “And one in
our hometown,” Ayala added.
They also plan to expand the line’s offerings to include headwear and intimate
apparel, in the hopes of making it a true lifestyle brand. Looking even further
into the future, Timberlake is excited about another area: suits. "My dad's
a banker," he said. "He wears a suit everyday. I can't wait until I
have suit in the line that he can wear."

just dress like him? The singer/actor is going to make it easy for you by
debuting his own clothing line this fall.
Timberlake's calling the line William Rast, a name patched together from the
first name of his grandfather and the last name of the grandfather of his best
friend and business partner Trace Ayala (their other partner is Danny Guez, who
worked on Eve's Fetish and Bow Wow's Shago apparel lines).
Stylewise, the clothing is described as a little bit country and a little bit
Hollywood, combining down-home Tennessee touches with upscale prices. While the
line is actually designed by Juan Cervantes, Timberlake had a lot of input,
drawing inspiration from his faves Marc Jacobs, Alexander McQueen and Tom Ford
of Gucci. The singer also acted as the fit model for the men's clothes,
Timberlake's fashion rep said.
So far, William Rast is a 60-piece line that focuses on jeans, T-shirts, polo
shirts, cashmere sweaters, corduroy blazers and outerwear. The women's jeans
come in three fits, the men's in four, with two fabrications and three washes.
The women's jeans have metal-trimmed wooden buttons, the men's have leather
buttons, and both have drop pockets with a "W" logo on the back
pockets. Other touches include yarn-embroidered logos and wide-contrast
stitching.
Timberlake and team are rolling out the gear to buyers next week, so that they
can stock it in Bloomingdale's and high-end boutiques such as Fred Segal, Kitson
and Atrium starting November 3 (they've already snagged the coveted window spot
in Bloomie's for the launch). If all goes well, they hope to expand the line,
adding headwear, intimate apparel and men's suits in the next year or so. And if
things go really well, they'd like to open their own stores, starting in Memphis
and Millington, Tennessee, where Timberlake grew up.

I saw the test screening tonight in Woodland Hills... my reaction... the good:
Justin Timberlake - Not expecting much... He
gave a really good performance and might have a 2nd career ahead of him.
Anton Yelchin (Zach) - Probably the best acting job in the film...does the
really innocent kid experiencing the strange reality he is thrown in really
well. I was really impressed in this heartbreaking perfomance... You grow to
love the kid and if you know the real story..how it ends.
Ben Foster (Jake) - He does crazy good. From moment one on the screen you could
see he was not right.
The Bad:
The pacing of the movie...from the opening credits which seemed to go on for 10
minutes.... show I guess the picture perfect suburban little kids growning
up....not forshadowing the dismal turn their lives take. Throughout the whole
movie the movie just seemed to stagger along then would take a quick jolt....and
then stagger along. I hope the editing will cut at least 30 minutes from the
movie.
Emile Hirch - While I admired him in other movies... I just could not buy his
performance in this role. Part of the pacing problems in the movie was his
performance...he stalled the movie when on screen alot of times.
Sharon Stone - Well...not her performance but the make-up job she had at the end
of the movie made me think of Jabba the Hut.
Overall:
This movie has potential but because of Jesse's recent arrest will probably
delay the release until after the trial is over as taint the jury pool big time
in San Bernadino or Los Angeles County. So this gives the producers a while to
fix the problems. Even though the movie is teen agers...this movie is definately
a hard- R rated....

Starting November 3rd, the collection, called William Rast (“William” is the first name of Timberlake’s grandfather and “Rast” is the last name of Ayala’s) will be available exclusively at 10 Bloomingdale’s in the department store channel as well as at select group of high-end boutiques including Kitson in Beverly Hills, Atrium in New York City and Fred Segal Santa Monica. Timberlake Breaks News to ET!

Singer JUSTIN TIMBERLAKE and his best friend,
TRACE AYALA, are breaking news to ET about their newest endeavor. The pair are
teaming up to market a brand-new clothing line, and we've got the goods on the
exciting new enterprise!
"This clothing is representative of where we come from," Justin tells
our own MARK STEINES. "It's sort of country, but it's also got a little
edge and a little chic to it."
"It's definitely a contemporary feel," adds Trace. "It's not mass
marketed. We're very meticulous about the stores we're going to be in."
The clothing line, which launches exclusively at Bloomingdales in November, is
called WILLIAM RAST. William Rast? Who's that?!
"We just kind of picked the two people who are most influential in our
lives, and that's our grandfathers," explains Justin. "William is my
grandfather's first name and Rast is [Trace's] grandfather's last name. Put the
two together..."
"My grandfather lived next door to me my entire life," says Trace.
"He's basically a father figure. And my grandfather and [Justin's]
grandfather knew each other growing up. They still live down the road from each
other."
"It'll be kind of interesting to see my grandfather in these clothes,"
says Justin with a smile.
